Welcome to Ecoroute.io. These Terms of Service (“Terms”) govern your access to and use of our API and associated services (collectively, the “Service”). By using the Service, you agree to these Terms. If you do not agree, you must not use the Service.
1. Introduction
Ecoroute is owned and operated by Ecoroute Corporation, a Delaware C Corporation (“we,” “us,” “our”). These Terms are a legally binding agreement between you (“you,” “your”) and Ecoroute Corporation.
2. Eligibility
By accessing or using the Service, you represent and warrant that:
1. You are at least 18 years old or the minimum legal age required to enter into a binding contract in your jurisdiction, whichever is higher.
2. You have the legal authority to enter into these Terms on behalf of yourself or your organization.
3. You will comply with all applicable laws, regulations, and these Terms.
3. Account Registration
To access the Service:
1. You must register for an account by providing accurate and complete information.
2. You are responsible for maintaining the confidentiality of your account credentials.
3. Notify us immediately of any unauthorized use of your account.
4. You are responsible for any activity under your account, whether authorized by you or not.
We reserve the right to suspend or terminate accounts for any violations of these Terms or suspected fraudulent activity.
4. API Usage
By using our API, you agree:
1. To use the Service solely for lawful purposes.
2. Not to:
• Reverse engineer, decompile, or extract source code from the API.
• Exceed reasonable usage limits specified in the documentation.
• Use the API in a way that disrupts or degrades the Service.
We reserve the right to monitor usage and enforce limitations to ensure system stability.
Violating these usage policies may result in immediate suspension or termination of access, and potential legal action.
5. Fees and Payments
1. Pay-As-You-Go Model: Fees are calculated based on your usage of the API and billed monthly.
2. Price Changes: We may modify pricing with at least 30 days’ notice. Continued use after the price change constitutes acceptance.
3. Late Payments: Failure to pay fees may result in suspension or termination of your account. Late fees may apply, and unpaid balances may be referred to a collections agency.
6. Refund Policy
1. All payments for API usage are final. No refunds will be issued after the service has been utilized. By using the Ecoroute API, you acknowledge that charges are based on consumption, and no partial or full refunds will be granted after service usage.
2. Refunds may be issued at our sole discretion in cases of billing errors or system malfunctions.
7. Acceptable Use Policy
You agree not to misuse the Ecoroute API. The following activities are strictly prohibited:
1. Engaging in fraudulent or malicious activities, such as injecting malware or excessive API requests aimed at disrupting service stability.
2. Using the API in a way that violates applicable laws, including those related to data privacy, intellectual property, or financial regulations.
3. Reselling, redistributing, or sublicensing access to the API without explicit written permission from Ecoroute.
4. Using the service for unethical tracking, scraping, or excessive automated queries beyond permitted usage limits.
8. Termination
1. By Us: We may suspend or terminate your access to the Service at any time, with or without cause, and with or without prior notice.
2. By You: You may terminate your account at any time through the dashboard provided in the Service. Upon deletion, your account and associated data will be permanently removed, subject to our data retention policies.
3. Effect of Termination:
• All licenses granted to you under these Terms will terminate immediately.
• Outstanding fees will become immediately due.
9. Service Level Agreement (SLA)
1. Ecoroute aims to maintain a 99.9% uptime for its API services. However, we do not guarantee uninterrupted access and are not liable for downtime due to maintenance, external attacks, or unforeseen system failures.
2. In case of extended downtime exceeding 12 consecutive hours, affected customers may be eligible for service credits upon request. These credits are granted at Ecoroute’s sole discretion and do not entitle the user to refunds or compensation beyond the usage credits.
3. Ecoroute is not liable for service interruptions caused by force majeure events, including but not limited to natural disasters, government actions, cyberattacks, or internet infrastructure failures.
10. Intellectual Property
1. All content, software, designs, and documentation associated with the Service are the exclusive property of Ecoroute Corporation. You are granted a limited, non-transferable license to use the Service as permitted under these Terms.
2. No rights, title, or interest in our API, trademarks, logos, or service marks are transferred to you under these Terms.
11. Confidentiality
1. You agree to maintain the confidentiality of any non-public information provided through the Service.
2. This obligation survives the termination of these Terms.
12. Data Handling and Privacy
1. Ecoroute does not store or process personal data beyond account registration and billing information required for service usage. We do not sell, analyze, or share customer data for marketing purposes. However, we use tracking tools to improve our website and service performance.
• These tools may collect non-personal usage data, such as website interactions, device type, and browser information. This data helps us understand user behavior and improve our platform.
• For billing, authentication, and fraud prevention, we use third-party services, which may collect and process user data under their respective policies. By using Ecoroute, you acknowledge that these third-party services operate independently and are governed by their own privacy policies.
2. By agreeing to these Terms of Service, you also agree to our Privacy Policy, which explains how we handle and protect your data, including analytics and tracking tools.
13. Limitation of Liability
1. To the fullest extent permitted by law, Ecoroute Corporation and its officers, directors, employees, agents, affiliates, and licensors will not be liable for:
• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or goodwill.
• Service interruptions, system failures, or damages resulting from the use or inability to use the Service, even if we have been advised of the possibility of such damages.
2. Our total liability for all claims arising out of or related to the Service is limited to the amount of your current open invoice, up to a maximum of $5,000. If no open invoice exists at the time of the claim, liability is capped at the amount paid in your last invoice.
3. These limitations apply to the maximum extent permitted by applicable law. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these exclusions and limitations may not apply to you.
14. Disclaimer of Warranty
1. The Service is provided on an “as is” and “as available” basis without any warranties of any kind, express or implied.
2. Ecoroute Corporation disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
3. We do not guarantee that the Service will meet your requirements, be compatible with your systems, or remain uninterrupted or error-free.
15. Indemnification
You agree to indemnify and hold harmless Ecoroute Corporation, its officers, directors, employees, and affiliates from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising from:
1. Your use of the Service.
2. Your violation of these Terms.
3. Any third-party claim arising from your content or data provided through the Service.
16. Governing Law and Dispute Resolution
1. These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
2. Any disputes arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware.
3. At our discretion, disputes may be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with Delaware as the arbitration venue.
17. Changes to the Terms
1. We reserve the right to modify these Terms at any time.
2. Significant changes will be communicated via email or through the Service.
3. Continued use of the Service after changes take effect constitutes acceptance.
18. Miscellaneous
1. Entire Agreement: These Terms constitute the entire agreement between you and Ecoroute Corporation.
2. Waiver: Failure to enforce any provision of these Terms does not constitute a waiver.
3. Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
